SHORT the Squirrel Literacy Initiative (StS) may occasionally conduct contests, sweepstakes and/or other giveaways (individually and collectively, “Promotion”) on social media networks including but not limited to Twitter, Instagram, Facebook, LinkedIn.com, and via websites, (each, a “Social Media Site”). Unless specifically noted otherwise by StS, these terms and conditions shall serve as the official rules for any such Promotion conducted by StS. StS may terminate, extend, suspend or alter any Promotion in its sole discretion. NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

Eligibility: Promotions are open only to those who are eighteen (18) years of age or older as of the date of entry. Promotions are only open to legal residents of the United States, and are void where prohibited by law. Employees/Interns of SHORT the Squirrel, its affiliates, subsidiaries, advertising and promotion agencies, and suppliers (collectively the “Employees”), and immediate family members are not eligible to participate in Promotions. The term “immediate family” includes spouses, domestic partners, siblings, parents, children, grandparents, grandchildren, or other family extension, and any other persons residing at the same household whether or not related. Promotions are subject to all applicable federal, state, and local laws and regulations. Agreement to Rules: By participating, the contestant (“You”) agrees to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of StS as final and binding as it relates to the content of the Promotion.

Campaign Period: Entries will be accepted online starting on dates and times specified on StS Promotion-oriented web pages, social posts, signage, flyers, letters, emails, and other communication vehicles and/or in verbal instructions and other formal statements bade by StS representatives at StS oriented events. To be eligible, all entries for a Promotion must be received in the formats and by the dates and times indicated in written or verbal instructions.

How to Enter: You must be a member of the Social Media Site on which the Promotion is being conducted to participate in the Promotion. Entry into any Promotion will only be via the method specified by StS in the Promotion’s offer on the Social Media Site. Unless otherwise specified by StS, you are entered once with a registration with additional entries from other referrals. All entries must include the information requested by StS to be eligible. Only one prize per person, household, email address and/or username will be allowed in any ninety (90) day period. All entries must be received within the time period stated by StS during the Promotion’s offer to be eligible to win a prize. Late and/or subsequent entries per person, per household per email address and/or username will be disqualified. StS is not responsible for failure to receive an entry for any reason including but not limited to submission and/or transmission failures, technical malfunctions and/or other conditions beyond its reasonable control. Entries generated by script, macro or other automated means are void. All entries become the property of StS and will not be acknowledged or returned.

The Winner will be chosen from the pool of Participants at random. The Winning Participant will be announced via Facebook, Instagram and website. The Winning Participant must Direct Message @shortthesquirrel or email contact@shortthesquirrel.com their mailing address in order to receive their prize. Prizes details will be coordinated with the address listed by the Participant Prizes: The Winner(s) of the Promotion(s) (the “Winners”) will receive the prizes listed in the Promotion instructions. The number and value of prizes awarded in any Promotion will vary, but in no event will the total of value of any prizes awarded in any Promotion exceed $1500. Prizes may not be substituted, transferred or assigned except at Sponsor’s sole discretion. Prize includes only what is specified in the prize description. The specifics of the prizes shall be solely determined by StS, and StS reserves the right to substitute prizes. No cash or other prize substitutions shall be permitted except at StS discretion. The prizes are nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner(s). Odds: The odds of winning depend on the number of eligible entries received. Winner Selection: StS’s clock will be the official time keeper for all Promotions. Winner(s) will be selected randomly, by criteria-based judging, or by other means listed in the Promotion instruction. For random selection of hashtag-based social media Promotions winner(s), StS will manually scroll through a list of posts that meet the Promotion criteria and will chose the topmost post (i.e., the post that displays at the top of the user interface after manually scrolling). Winner selection will take place under the supervision of StS. For on-side, real-time events/Promotions, winner(s) will be notified via verbal announcement. For other Promotions, winner(s) will be notified by social media comment/reply and/or social media private message and/or email and/or telephone within a reasonable time following selection of Winner(s). StS shall have no liability for Winner’s failure to receive notice due to spam, junk email or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If a winner cannot be contacted, is ineligible, fails to claim the prize during the on-site, real-time event or, for other Promotions, within seven (7) calendar days from the time award notification was sent, the prize may be forfeited. StS reserves the right to randomly select an alternate winner(s) from the remaining eligible entries received for the applicable Promotion. Receipt by Winner of the prizes offered in Promotions is conditioned upon Winner’s compliance with any and all federal, state, and local laws and regulations.

ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT StS’s SOLE DISCRETION) WILL RESULT IN WINNER”S DISQUALIFICATION AS WINNER OF THE PROMOTION, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. If a prize is offered to the first number of votes, likes, posts, responses, “tweets,” “posts,” etc. (collectively, “Responses”), StS will determine any such winners based on the order in which such Responses are received by StS. In the event winners are selected based on the “best” submitted story, photo, essay, message or other similar type of submission (“Submissions”), StS will judge such Submissions and select the Winner(s) based equally on the originality and creativity of each Submission. All Submissions must be original unpublished works created by the individual entering such Submission and all submission will become the property of StS and will not be returned. Any photos submitted by an entrant must be in .JPG format and photos larger than 5MB will not be accepted. All photos must be original, unpublished and the sole property of the entrant. In addition, photos may not contain the trademarks of any third party, nor may they contain lewd, inappropriate, threatening or obscene, defamatory or libelous images or content. StS may, in its sole discretion, display any submitted photo in any media, including on StS's websites. By submitting a photo, entrants agree that the photo does not infringe on the intellectual property or other rights of any third party, does not violate any laws, nor does it contain a virus. Limitation of Liability: By entering, You agree to release, discharge, and agree to indemnify and hold harmless StS and it subsidiaries, affiliates, advertising and prometon agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Promotion and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries; and (vi) injury of losses (including death) to any person, or property of any kind resulting in whole or in part, directly or indirectly from acceptance, possession, misuse or use of any prize or participation in any sweepstakes related activity or participation in any promotion conducted by SC. Terms and General Conditions: StS reserves the right, in its sole discretion, to cancel, terminate, modify or suspend Promotions should viruses, bugs, non-authorized human intervention, fraud, or other causes beyond StS’s control corrupt or affect the administration, security, fairness, or proper conduct of the Promotions. In such case, StS may select the Winner(s) from all eligible entries received prior to and/or after (if appropriate) the action taken by StS. StS reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Promotion or website or violates these Rules. StS has the right, in its sole discretion, to maintain the integrity of the Promotion, to void votes for any reason. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Promotion may be a violation of criminal and civil laws. Should such attempt be made, StS reserves the right to seek damages to the fullest extent permitted by law. StS is not responsible for typographical errors in the Promotion, any Social Media Site or these rules. Disputes/Claims/Choice of Law: THIS PROMOTION IS GOVERNED BY THE LAWS OF THE UNITES STATE OF AMERICA AND THE STATE OF ALABAMA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Promotion, You agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out or connected with this Promotion, shall be resolved individually, without resort to any for of class action, exclusively before a court located in Alabama having jurisdiction. Further, in any such dispute, under no circumstances shall You be permitted to obtain awards for, and herby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than Your actual out-of-pocket expenses (i.e., costs associated with entering the Promotion). You further waive all rights to have damages multiplied or increased. Publicity/Release: Except where prohibited by law or regulation, by entering and/or accepting a prize you grant StS permission to use your name, username/online alias, likeness, and statements for any purpose in reference to a Promotion without additional compensation, consideration or consent. StS reserves the right to use any Response or Submission in all print and electronic media, and to edit any Response or Submission for brevity and clarity.
